Your order is considered accepted only after written confirmation from AG Universe. We must receive and process your payment before your order is validated. Please check your order carefully before submitting it, as AG Universe may be unable to accept cancellation requests after confirmation. We cannot be held responsible for shipping or delivery delays. All delivery times are estimates and are not guaranteed. We disclaim responsibility for delays caused by carriers, customs procedures or events beyond our control. Once products are handed to the carrier, ownership and risk of loss transfer to you.

All other names, logos, product and service names, designs and slogans on the Services are trademarks of their respective owners.

You may use customer tools provided by third parties through the Services that we neither monitor nor control and to which we have no input.

You acknowledge and agree that access to these tools is provided “as is” and “as available”, without warranties, representations or conditions of any kind and without our endorsement. We disclaim any liability arising from or related to your use of optional third-party tools.

AG Universe is powered by Shopify, enabling us to offer the Services. However, any sale or purchase in our Store is made directly with AG Universe. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and AG Universe, including harm, injury or loss arising from purchased products or services. You expressly release Shopify and its affiliates from any claims, damages and liability arising from or related to your purchases and transactions with AG Universe.

You also agree not to: (a) upload or transmit viruses or other malicious code that could affect the operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services; (c) collect or track others' personal information; (d) engage in spam, phishing, pharming or pretexting through the Services; (e) use robots, spiders, scraping, collection or extraction tools, automated devices, AI tools (including agentic AI) or any automated or manual means to access the Services; or (f) interfere with, bypass or defeat security or authorization features, robot exclusion headers or other measures we use to restrict access. We reserve the right to terminate this agreement or your access to all or part of the Services at our sole discretion at any time without notice. You remain liable for all amounts due up to and including termination.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy and any other provision that by its nature should survive.

SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE EXCLUSION OF IMPLIED OR OTHER WARRANTIES, SO THIS EXCLUSION MAY NOT APPLY TO YOU.

SECTION 18 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless AG Universe, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from losses, damages, liabilities or claims, including reasonable attorneys' fees, owed to third parties arising from (1) your breach of these Terms or incorporated documents, (2) your violation of law or third-party rights or (3) your access to and use of the Services.

We will notify you of covered claims, provided that failure to notify promptly does not release you from your obligations unless it materially prejudices you. We may control the defense and settlement at your expense, including selecting legal counsel, but will not settle a claim imposing non-monetary obligations on you without your consent, which must not be unreasonably withheld. You will cooperate in the defense, including providing relevant documents.

SECTION 19 - SEVERABILITY

If any provision is found unlawful, void or unenforceable, it remains enforceable to the fullest extent permitted by applicable law, and the unenforceable portion is deemed severed. This does not affect the validity or enforceability of the remaining provisions.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Failure to exercise or enforce any right or provision of these Terms does not constitute a waiver.

These Terms and any policies or operating rules we publish on this website or regarding the Service constitute the entire agreement and understanding between you and us and govern your use of the Service. They supersede all prior or contemporaneous agreements, communications and proposals, oral or written, including previous versions of these Terms.

Ambiguity in interpreting these Terms shall not be construed against the drafting party.

You may not delegate, transfer or assign this agreement or any rights or obligations under it without our prior written consent. Any unauthorized attempted assignment is null and void.
